国有企业（state-owned enterprise）又称全民所有制企业（计划经济时期曾称为国营企业），“是指企业资产归国家所有，依法设立的自主经营、自负盈亏、独立核算的社会主义的商品生产者和经营单位”（方文霖等，2007，via: http://book.duxiu.com/EncyDetail.jsp?dxid=900008540581&d=DC9A2226919CAD12445AEB6F9BA71A4C）。在私有制占统治地位的国家，由国家预算直接投资建立，或由国家出资收买某些私人企业而形成“国有企业”。中国的国有企业是通过三条途径建立起来的，一是没收官僚资本企业；二是对资本主义工商业进行社会主义改造的企业；三是建国后由国家投资兴办的企业。一般说来中国的国有企业的生产资料归国家所有，但由企业直接占有、支配、管理和使用。企业在经济上和财务上的独立性是相对的，要接受国家的宏观调控，同时又接受市场调节，并自主经营、自负盈亏，对自己的经营成果负责（厉以宁，1993：289）。国有企业的分类，从规模上可分为国有大、中、小型企业；从公司改制上分，可分为国有独资公司、国有控股公司、国有参股公司。国有企业的基本特征有以下三个，一是国有企业同集体所有制、个体所有制等其他所有制企业的根本区别在于它是生产资料全民所有即以国有制为基础的商品经济组织。二是国有企业是依法独立的商品经济组织，当前国有企业改革的目标是“产权清晰，权责明确，政企分开，管理科学”，建立现代企业制度，使国有企业成为自主经营、自负盈亏、自我发展、自我约束的法人实体和市场竞争主体。三是国有企业是从事商品生产、经营的商品经济组织，其直接目地是营利。（和静钧，2002，via: http://book.duxiu.com/EncyDetail.jsp?dxid=900008505070&d=154F41507B721ECEC596EB6B4AD6E032）
