产业资本依次经过三个阶段，顺序采取三种职能形式，使其价值得到增殖，最后又回到原来出发点的全部运动。产业资本在运动中依次经过三个阶段：第一阶段是购买阶段，资本家以购买者的身份在市场上用货币资本购买生产资料和劳动力，使货币资本转化为生产资本。第二阶段是生产阶段，资本家把购买来的生产资料和劳动力结合起来投入生产，生产出包含剩余价值的商品，于是生产资本转化为商品资本。这是资本循环中有决定意义的阶段，因为只有这个阶段才创造价值和剩余价值。第三阶段是销售阶段，资本家以出卖者的身份回到市场上，将商品卖出换回货币，不仅收回预付资本，而且实现了剩余价值，这样商品资本转化为货币资本，资本又回到原来出发点的形式上，资本得到增殖，完成一次循环。用公式表示就是：G—W产业资本循环从其连续过程看，包括货币资本循环、生产资本循环和商品资本循环三种循环形式。资本家要使生产连续不断地进行，不断地带来剩余价值，必须把资本按一定比例同时并存于货币资本、生产资本和商品资本三种职能形式上，并使每一种资本形式都相继通过循环的三个阶段，形成各自的循环。产业资本的现实循环运动，不仅是流通过程和生产过程的统一，而且是三种循环形式的统一（许征帆，1989：1069-1070）。
