科学技术转化为现实生产力，第一步就是将科技成果转化为直接为人类服务的商品，我们把转化过程的这一阶段定义为商品化，人们常说的让科技成果走出实验室，进入市场，就是这个含义。在商品化过程中，转化的对象是科技成果，转化的结果是成为商品而不是样品，转化的条件主要是转化环境和技术条件即工艺条件转化，成败的关键主要是克服科学技术上的难关，因而转化过程的操作者是以成果发明人为主角，转化成功的标志是诞生了可以进入市场的商品。
我们不仅希望科技成果能成功地转化为商品，而且更希望将商品经营成巨大的产业，这种在科技成果转化为商品时追求最大转化效益的过程就叫做科技成果产业化。1971年美国经济学家戴维提出了企业规模“起始点”理论，该理论是指一个企业要采用一种新技术至少需要达到一定的规模，如果企业规模过小，该种新技术的采用就可能使产品成本提高，竞争力下降，并使赢利减少，在经济上是不合算的，这也是科技成果产业化产生的原因。
科技成果产业化是一个复杂的系统工程，具有连续性，风险性，资产性，高收益的特点。它包括技术开发、产品开发、市场开发几个阶段。在实践中我们可以看到科技成果产业化涉及到自然科学、社会科学、工程技术、管理科学等许多方面；从产业的角度来看,是以信息业、服务业、教育业、金融业交叉而成的学科；从保证科技成果产业化顺利实施的支持系统来看，它还包括生产管理、环境资源、技术信息、经济市场等系统,它们为着一个共同的目标相互作用和相互依赖。(万金荣，2006:13-15)
