资本的有机构成，是指由资本技术构成决定并且反映资本技术构成变化的资本价值构成。马克思在《资本论》第一卷第二十三章资本主义积累的一般规律中提到了资本有机构成这个概念，并且从中可以看出，“打开资本关系积累奥秘的钥匙正是一种被称之为资本有机构成的理论”（郑光中，1999：90）。资本积累的结果，可以从质和量两个方面来规定。这就是马克思所说的：“资本积累最初只是表现为资本的量的扩大，但是以上我们可以看到，它是通过资本构成不断发生质的变化，通过减少资本的可变部分来不断增加资本的不变部分而实现的”（马克思，1975：689-690）。资本的构成可以从双重的意义上来理解。第一，从价值方面来看，资本的构成是资本分为不变资本（C）和可变资本（V）的比率；第二，从物质方面看，每一个资本都分为生产资料和活的劳动力。前一种构成叫资本的价值构成，后一种构成叫资本的技术构成。马克思把“由资本技术构成决定并且反映技术构成变化的资本价值构成，叫做资本的有机构成。”资本有机构成可以用C：V来表示。在不同企业和不同生产部门，由于其技术水平不一样，它们的资本有机构成也不相同。把同一部门内部各个企业的资本有机构成加以平均，就得出该部门的资本平均有机构成。把各个生产部门的资本有机构成加以平均就得出整个社会的资本平均有机构成。（陈智，2011：54）。资本有机构成是马克思在经济学中的重要概念，它对于解释科学技术的进步以及社会劳动生产率提高趋势，同时对于分析经济发展，说明一般利率规律等具有重要作用。
