依法执政，就是指一个政党依照法律进入国家政权并在其中处于主导地位，且依照法律从事管理活动。依法执政意味着党通过制定大政方针、提出立法建议、推荐重要干部等执政权力的行使，使党的主张经过法定程序变成国家意志，支持和保证人大、政府、司法机关依法履行职能，最终实现党的正确领导。
依法执政，就是党要紧紧抓住制度建设这个带有根本性、全局性、稳定性、长期性的重要环节，坚持依法治国，领导立法，带头守法，保证执法，不断推进国家经济、政治、文化、社会生活的法制化、规范化，从制度上、法律上保证党的路线方针政策的贯彻实施，使这种制度和法律不因领导人的改变而改变，不因领导人的看法和注意力的改变而改变。这是中国共产党在新的历史条件下领导方式和执政方式的重大转变，是实行依法治国基本方略、发展社会主义民主政治、建设社会主义政治文明的必然要求。依法执政与科学执政、民主执政之间是辩证统一的：科学执政是基本前提，民主执政是本质所在，依法执政是基本途径。三者相互联系、有机结合，构成了中国共产党执政方式的基本理论框架。科学执政与民主执政必须通过依法执政的途径来实现。
