定义

资产证券化是以特定资产组合或特定现金流为支持，发行可交易证券的一种融资形式。通俗而言就是指将缺乏流动性、但具有可预期收入的资产，通过在资本市场上发行证券的方式予以出售，以获取融资，以最大化提高资产的流动性。资产指的是任何公司、机构和个人拥有的任何具有商业或交换价值的东西。资产的分类很多，如流动资产、固定资产、有形资产、无形资产、不动产等。自1970年美国的政府国民抵押协会，首次发行以抵押贷款组合为基础资产的抵押支持证券—房贷转付证券，完成首笔资产证券化交易以来，资产证券化逐渐成为一种被广泛采用的金融创新工具而得到了迅猛发展，在此基础上，现在又衍生出如风险证券化产品。一般来说，一个完整的资产证券化融资过程的主要参与者有：发起人、投资者、特设信托机构、承销商、投资银行、信用增级机构或担保机构、资信评级机构、托管人及律师等。广义的资产证券化包括以下四类：实体资产证券化、信贷资产证券化、证券资产证券化、现金资产证券化。资产证券化的目的在于将缺乏流动性的资产提前变现，解决流动性风险。由于银行有短存长贷的矛盾，资产管理公司有回收不良资产的压力，因此在我国，资产证券化得到了银行和资产管理公司的青睐，中国建设银行、中国工商银行、国家开发银行、信达资产管理公司、华融资产管理公司等都在进行资产证券化的筹划工作。（资产证券化.via: http://baike.sogou.com/v282649.htm）
