影子银行是指游离于银行监管体制之外的向非金融企业、居民以及其他金融机构提供流动性、期限匹配以及杠杆的信用中介体系。影子银行系统又被称为平行银行系统。“影子银行”的概念诞生于2007年的美联储年度会议，由美国太平洋投资管理公司执行董事麦卡利在2007年首次提出，随即被广泛采用，它包括的非银行金融机构有投资银行、对冲基金、货币市场基金、债券、保险公司等。金融稳定理事会在定义影子银行体系时指出影子银行有狭义和广义之分，“狭义的影子银行体系是指通过期限和流动性转换、杠杆以及不完全的信用风险转移引起系统性风险的，和（或）从事监管套利的信用中介机构和活动，广义的影子银行体系是指传统银行体系之外涉及信用中介的机构和活动”。（颜永嘉，2014：45）影子银行体系是银行业监管套利的产物，通过将信贷资产由表内转移到表外，影子银行有效规避了监管体系的限制，从而提高资本回报率。世界范围内的影子银行体系主要由证券化机构、市场化金融公司、结构化投资机构以及证券经纪公司四部分构成。目前，中国的影子银行体系发展速度很快，呈现出类似的以信贷业务为主、与银行业务密切相关的信用中介特征，但是由于中国的金融市场相对不完善，影子银行的复杂程度相对较低。
