定义

利率互换亦称“利率调换”、“利率掉期”。交易双方在两笔同种货币，金额相同，期限一样，但付息方法不同的资产或债务之间进行的相互交换利率的活动。它以交易双方协商的本金为计算利息的基础，在同种货币之间进行固定利率与浮动利率、固定利率与固定利率、或者浮动利率与浮动利率的互换。在交易中，双方只结清其互换的利率差额，在整个交易过程中，均不发生资金的实际转移。最早的利率互换发生于1982年。当时，德意志银行与另外三家银行之间成功地进行了欧洲债券固定利率与伦敦同业拆借利率的互换。从那以后，利率互换的种类日益增多，规模也逐渐增大，现在已发展成为一种重要的分散风险的理财工具（戴相龙，黄达，1998：1066）。
　交易的目的在于降低双方的资金成本。在国际金融市场上，不同借款人因资信不同，借款成本有差异，如资信较差的借款人在固定利率借款市场上通常需要比在浮动利率借款市场上付出更多的利息。通过利率互换交易，双方可先进入各自最有优势的借款市场筹资，然后以固定利率转换成浮动利率，或将浮动利率转换成固定利率（刘伟，1994：345）。
　利率互换使交易双方在不影响资金来源的情况下发挥了各自的相对融资优势，调节融资成本和风险。资信好的一方进一步降低了融资成本，资信差的一方也能进入市场，并获得了较好的融资条件（胡代光，1996：187）。
